Terms of Service

PLEASE READ THESE TERMS OF USE (“TERMS”, “TERMS OF USE”, OR “AGREEMENT”) CAREFULLY BEFORE USING THE SERVICES OFFERED BY SESSIONBLOCKS.COM (”SESSIONBLOCKS”, “WE”, “OUR”, OR “US”). THIS AGREEMENT DEFINES THE LEGALLY BINDING TERMS AND CONDITIONS FOR YOUR USE OF SESSIONBLOCKS' SERVICES, INCLUDING, WITHOUT LIMITATION, ALL OF OUR WEBSITES AND SOFTWARE APPLICATIONS (EACH A “SERVICE” AND COLLECTIVELY THE “SERVICES” OR “SESSIONBLOCKS SERVICES”).

Acceptance of Terms. By using, accessing, signing up for, or submitting payment for any Service and/or clicking to agree to these Terms, you confirm that you understand, accept the Terms, and agree to be bound by them. Your use of such Services and any corresponding transactions is further subject to Sessionblocks' Privacy Policy. If you do not understand the Terms, or do not accept any part of them, then you may not use or access any Service. To purchase and use a paid Service you must: (i) be at least 18 years old or the age of majority as determined by the laws of the jurisdiction in which you live or (ii) have the express consent of your parent or guardian to purchase and use that Service. If you are a parent or legal guardian and you allow your child (or a child that you are a guardian of) to purchase or use a Service, you agree that the Terms apply to you, that you will abide by the Terms, and that you are responsible for the child's activity on the Services and for ensuring that the child also abides by the Terms.

Changes to Terms. Sessionblocks may revise these Terms. The changes will not be retroactive, and the most current version of the Terms of Service available will govern your use of the Services and any corresponding transactions. If we modify or revise these Terms after you have agreed to them (for example, if these terms are modified after you have purchased a subscription), we will notify you in advance of material revisions to these terms.

Sessionblocks is a browser session manager, available as a browser extension, designed to help users organize and interact with multiple browser windows and tabs (”items”). Key features of the Service include:

• Multiple item selection, drag and drop-based move, removal and memory discard;
• Window renaming, saving, closing, opening and removal;
• Item filtering and duplicate finding;
• Session import and export;

Session and settings data is saved locally and accessible by the user at any time. The user is, however, not guaranteed session data access through the Extension Service while offline.

The Sessionblocks Extension Service operates on a paid subscription basis (”Subscription”), for which different pricing tiers and periods, such as annual or monthly, may be available.

Account Registration. To sign up for a Subscription, you must first create an account with Sessionblocks. The Service's authentication is processed through Sessionblocks' authentication provider, Supabase (www.supabase.com - hereafter “Supabase”);

Choosing a Subscription. When logged in, you may choose to sign up for an available Subscription Tier and pay via Stripe, Sessionblocks' third party payment partner (www.stripe.com - hereafter “Stripe”);

Managing your Subscription. If you have an active Subscription, you can manage it by clicking the “Manage subscription” button on the Subscription section of the Account panel in the Extension's Preferences modal.

Payment Terms. Sessionblocks offers various payment options that may vary by Subscription tier, your device and/or operating system, your geographic location, or other factors. To the extent available, web payments are processed by a third party, Stripe. When you make a payment, you explicitly agree: (i) to pay the price listed for the Subscription, along with any additional amounts relating to applicable taxes, credit card fees, bank fees, foreign transaction fees, foreign exchange fees, and currency fluctuations; and (ii) to abide by any relevant terms of service, privacy policies, or other legal agreements or restrictions (including age restrictions) imposed by Stripe in connection with your use of a given payment method. Any private personal data that you provide in connection with your use of the Services including, without limitation, any data provided in connection with payment, will be processed in accordance with the Sessionblocks Privacy Policy. Sessionblocks may share your payment information with payment services providers to process payments; prevent, detect, and investigate fraud or other prohibited activities; facilitate dispute resolution such as chargebacks or refunds; and for other purposes associated with the acceptance of credit cards, debit cards, or ACH. It is your responsibility to make sure your banking, credit card, debit card, and/or other payment information is up to date, complete and accurate at all times. If you make a payment for a Service, we may receive information about your transaction such as when it was made, when a subscription is set to expire or auto-renew, what platform you made the purchase on, and other information. Sessionblocks will not be responsible or liable for any errors made or delays by a payment processor, your bank, your credit card company, and/or any payment network.

All transactions are final. All payments for Services and Subscriptions are final and not refundable or exchangeable, except as required by applicable law. We make no guarantee as to the nature, quality, or value of a Service or the availability or supply thereof. Refunds or credits are not provided for any unused or partially used Service (for example, a partially used subscription period). Each purchase of a Service applies to a single Sessionblocks account, meaning that your purchase will apply solely to the account you were using when you purchased the Service and will not apply to other accounts that you may have access to, or control over. If you have or control multiple accounts and you want access to Services on each account, you must purchase the Service on each account individually.

Billing and Termination. If you purchase a Sessionblocks subscription, you do so by paying a subscription fee in advance on a recurring basis. You expressly agree that you are authorizing recurring payments and for us to charge your payment method the then-current subscription fee. Your payment information will be automatically processed at the start of each subscription period. Unless otherwise indicated, Subscriptions continue indefinitely until canceled. If your payment information is declined, you must provide new payment information for your Subscription or it will be canceled. If you provide new payment information and your payment account is successfully charged, your new Subscription period will be based on the original renewal date and not the date the successful charge took place. In the case of non-payment or delinquent payment of any Subscription Fees, Sessionblocks may, at its sole discretion: (i) suspend your access to the Services; (ii) terminate this Agreement or the applicable Paid Subscription; or, (iii) continue to provide the Services, for a period solely determined by Sessionblocks, in anticipation of full and prompt payment by you. Any amount which is unpaid when due shall be subject to interest equal to the lower of 1.5% per month or the highest applicable legal rate. Sessionblocks shall be entitled to reimbursement for any costs associated with the collection of any past-due balance. There are no refunds or credits for any partial subscription periods, including in a situation where certain features, benefits and/or services are modified or discontinued. SUBSCRIPTION PLANS ARE PREPAID, NON-REFUNDABLE (UNLESS REQUIRED BY LAW), AND AUTOMATICALLY RENEW AT THE END OF EACH SUBSCRIPTION PERIOD UNLESS THE SUBSCRIPTION IS CANCELLED FOLLOWING THE CANCELLATION PROCEDURES BELOW.

Subscription Cancellation. In addition to, and notwithstanding, any other rights we may have under these Terms, we reserve the right to terminate a Subscription at any time, with given prior notice. Unless we inform you otherwise, we will allow you to retain access to the Subscription for the remainder of the then-current billing period, after which we will terminate your access to the Sessionblocks Service. You may cancel your Paid Subscription at any time by logging into the Sessionblocks Extension and accessing the “Manage subscription” button in the Account Preferences modal, as explained in the Sign-up, Payment and Subscription Management section, under “Managing your Subscription“. Unless otherwise indicated, cancellation will take effect from the end of the billing period in which you cancel. As previously state, we do not provide refunds or credits for any partial subscription periods.

Subscription Fees. The price of a Subscription is set by Sessionblocks. Sessionblocks may, from time to time, change the price for the Subscriptions, including recurring subscription fees, to reflect circumstances such as changes in product offerings and features, changes in the business or changes in the economic context, or for security, legal or regulatory reasons by communicating by any reasonable means, including by email or via in-app notifications or otherwise, any price changes with reasonable notice, in any case not less than 30 days. Price changes will take effect at the start of the next subscription period following the date of the price change. Subject to applicable law, by continuing to use the Sessionblocks Service after the price change takes effect, you will have accepted the new price. If you do not agree to a price change, you can reject the change by unsubscribing from the applicable Subscription prior to the price change going into effect.

Taxes. Tax rates are based on the rates applicable at the time of your monthly charge. These amounts can change over time with local tax requirements in your country, state, territory or even city. You are responsible for and agree to pay any applicable taxes, duties, tariffs, and fees related to the purchase of Services, including those required to be paid to either Sessionblocks or a third-party payment processor. These taxes may include, but are not limited to, VAT, GST, sales tax, withholding tax, and any other applicable taxes. Depending on your location, Sessionblocks may be responsible for collecting and reporting information related to transaction taxes arising from your purchase of Services. You grant Sessionblocks permission to provide your account and personal information to relevant tax authorities to fulfill our tax collection and reporting obligations. Unless otherwise stated with respect to terms and conditions for a specific Subscription, all stated prices are exclusive of any taxes, fees, and duties, or other amounts, however designated, and including without limitation value added and withholding taxes that are levied or based upon such charges, or upon this Agreement.

Withdrawal right for EU or UK Users. If you sign up for a subscription trial (”Trial”), you agree that the withdrawal right for the Subscription for which you are receiving a Trial ends fourteen (14) days after you start the Trial. If you don't cancel the Subscription before the Trial ends, you lose your right of withdrawal and authorise Sessionblocks to automatically charge you the agreed price each month until the Subscription is cancelled. For trials of less than fourteen (14) days, you expressly consent to us providing you with the paid service immediately after the end of your Trial and that from that point you lose your right of withdrawal. If you purchase a Paid Subscription with no Trial, you agree you have fourteen (14) days after your purchase to withdraw for any reason and must pay us for the services provided up until the time you tell us that you have changed your mind. You expressly consent to us providing you with the service immediately following your purchase, that you lose your right of withdrawal, and authorise Sessionblocks to charge you automatically each month until your Subscription is cancelled.

On occasion, Sessionblocks may offer special promotions or free trial periods (”Promotion” or ”Trial”) for a Subscription. Unless specifically noted, these Terms will apply to such Trials. Any additional terms to these Terms will be disclosed at sign-up or in other communications made available to you prior to sign-up. Restrictions may apply to the availability of Trials. Certain features and benefits of the Subscription may not be available or may be limited during the Trial period. You are solely responsible for reviewing any additional terms governing your use of a Trial. At the end of the Trial period, your Subscription will automatically renew and you will be charged the subscription fee (as indicated at sign-up) on a recurring basis. TO AVOID ANY CHARGES AFTER A TRIAL, YOU MUST CANCEL BEFORE THE END OF THE PROMOTION PERIOD, BY FOLLOWING THE CANCELLATION PROCEDURES ABOVE IN “SUBSCRIPTION CANCELLATION”.

We aim to evolve and improve our Services constantly, and we may modify, suspend, or stop functions, features, subscription plans and promotional offerings, at our discretion. Sessionblocks is not liable to you or to any third party for any modification, suspension or discontinuation of the Services.

DISCLAIMER. YOU UNDERSTAND AND AGREE THAT THE SESSIONBLOCKS SERVICE IS PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS.

We give you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software provided to you as part of the Services.

Restrictions. Except as expressly permitted in this Agreement, you will not, and will not permit or authorize third parties to: (1) license, sub-license, sell, transfer, distribute, share, rent, lease, or otherwise permit third parties to use the Services or documentation; (2) use the Services or documentation to provide business process outsourcing services to third parties (e.g. as a service bureau); (3) use the Services or API in order to circumvent Subscription fees or in a way that would violate the applicable Subscription plan, documentation, or this Agreement; (4) circumvent or disable any security or other technological features of the Services; (5) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, know-how, or algorithms related to the Services (except to the extent this restriction is prohibited by applicable law); (6) modify, translate, or create derivative works based on the Services or documentation; (7) remove any proprietary notices or labels from the Services; (8) use the Services in a manner that violates or attempts to circumvent applicable law; (9) access the Services for the purpose of building a competitive product or service or copying its features or user interface; (10) use the Services for evaluation, benchmarking, or other comparative analysis intended for publication without Sessionblocks' prior written consent.

Brand. Nothing in the Terms gives you a right to use the Sessionblocks name or any of the Sessionblocks logos, domain names, other distinctive brand features, and other proprietary rights. All right, title, and interest in and to the Services (excluding content provided by users) are and will remain our and our licensors' exclusive property.

Feedback and Other Content. Any feedback, comments, or suggestions you may provide regarding Sessionblocks, or the Services is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you.

You shall defend, indemnify, and hold Sessionblocks, its affiliates and each of its affiliates employees, contractors, directors, suppliers and representatives harmless from all liabilities, losses, claims, and expenses, including reasonable attorneys' fees, that arise from or relate to (i) your use or misuse of, or access to, the Services, or (ii) your violation of the Terms or any applicable law, contract, policy, regulation or other obligation. Sessionblocks reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with Sessionblocks in connection therewith.

LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SESSIONBLOCKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONTENT OBTAINED FROM THE SERVICES; OR (iii) ANY OTHER MATTER RELATING TO THE SERVICE. IN NO EVENT SHALL SESSIONBLOCKS' LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR THE AMOUNT YOU PAID TO SESSIONBLOCKS, IF ANY, IN THE PAST SIX MONTHS FOR THE PAID SERVICES GIVING RISE TO THE CLAIM. IF YOU ARE MERELY DISSATISFIED WITH ANY PORTION OF THE SERVICE OR WITH THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE THE USE OF THE SERVICE. THE LIMITATIONS OF THIS SUBSECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, AND WHETHER OR NOT SESSIONBLOCKS HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. IN THIS LIMITATION OF LIABILITY CLAUSE, SESSIONBLOCKS INCLUDES ITS PARENTS, AFFILIATES, RELATED COMPANIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, PARTNERS, AND LICENSORS. YOU AGREE THAT REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION THAT YOU MAY HAVE ARISING OUT OF OR RELATED TO THE USE OF THE SERVICE OR THESE TERMS MUST BE FILED BY YOU WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED.

DISCLAIMERS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOUR ACCESS TO AND USE OF THE PAID SERVICES IS AT YOUR OWN RISK. YOU UNDERSTAND AND AGREE THAT THE SERVICES ARE PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS. SESSIONBLOCKS DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SESSIONBLOCKS MAKES NO WARRANTY OR REPRESENTATION AND DISCLAIMS ALL RESPONSIBILITY AND LIABILITY FOR: (I) THE COMPLETENESS, ACCURACY, AVAILABILITY, TIMELINESS, SECURITY OR RELIABILITY OF THE PAID SERVICES; AND (II) WHETHER THE PAID SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. YOU ARE RESPONSIBLE FOR YOUR USE OF THE SESSIONBLOCKS SERVICE, INCLUDING THE SERVICES, AND ANY CONTENT YOU PROVIDE.
